Terms of Service

These Terms govern your use of PeoplePulse — the attendance, payroll and Labour-Code compliance platform and related consultancy services ("Services") operated by the PeoplePulse team ("PeoplePulse", "we", "our", "us"). By creating an account, starting a free trial, paying a subscription, or using any part of the Services, you ("Customer", "you") accept these Terms. If you don't accept them, don't use the Services.
Plain-English promise. We've kept this document short, specific and readable. No hidden clauses, no buried auto-renewals, no gotchas. If anything is unclear, email
admin@peoplepulse.co.in and we'll explain before you sign up.
1. Who can use PeoplePulse
You must be an Indian business entity (sole proprietor, LLP, partnership, private limited, or equivalent) with the authority to bind that entity to these Terms. You must provide accurate registration details and keep them current.
2. Your account & data
- You are responsible for the confidentiality of your login credentials and for all activity under your account.
- You are the "Data Fiduciary" for your worker data under the Digital Personal Data Protection Act, 2023 ("DPDP Act"). PeoplePulse acts as "Data Processor" strictly under your written instructions — see our DPDP Disclosure and Privacy Policy.
- You warrant that you have obtained every consent and notice required under the DPDP Act before uploading any worker's personal data to the platform.
3. Software subscription
- Plans & pricing are listed on our Pricing page. All prices are in INR.
- Free trial: 7 days. No card required. Full access. Cancel anytime from your dashboard. If you don't subscribe within the trial window, the account is frozen — your data is retained for 30 days and then permanently deleted.
- Billing: month-to-month unless you opt for an annual plan. A sequentially-numbered Invoice is issued within two (2) working hours of payment receipt, delivered via email and WhatsApp in PDF form.
- GST status (pre-registration): PeoplePulse is currently below the ₹20 lakh services threshold under Section 22(1) of the CGST Act, 2017, and is therefore not GST-registered. Listed prices are all-inclusive. No GST is charged today. Customer invoices are marked "INVOICE (GST Registration Pending)."
- GST status (post-registration): On voluntary or mandatory GST registration, 18% GST will be added to listed prices and a revised Tax Invoice will be issued to customers within the same financial year so they may claim input tax credit (subject to Rule 36 of CGST Rules). Customers are notified in advance of the switchover.
- Customer GSTIN collection: PeoplePulse collects customer GSTIN at onboarding (optional) and stores it for the post-registration switchover. Providing GSTIN is not a condition of service.
- Late payment: accounts unpaid for 14 days past invoice date are suspended. Suspended accounts are reactivated within 24 hours of payment receipt.
4. Consultancy retainers
Consultancy retainers (Lite, Standard, Premium) are separate engagements governed by the Consultancy plans page and, where applicable, a signed Statement of Work. Retainers carry a minimum commitment of three (3) months. They are advisory in nature — see §7.
5. Refunds & cancellation
Our Refund Policy is part of these Terms. In short: cancel anytime, pro-rated refunds on annual plans in the first 30 days, no refunds on consultancy retainers after scope work has begun.
6. Your responsibilities
- Provide complete and accurate employee data, attendance inputs, wage structure, and statutory registration details (PF, ESI, PT, etc.).
- Pay wages, statutory contributions, taxes, and worker dues on time. We prepare the sheets; the actual disbursal is yours.
- Sign, stamp, file and retain physical copies of any document that requires a wet signature or physical filing.
- Comply with all applicable laws — including the Factories Act, 1948 (as transitioned), the four Labour Codes, the DPDP Act, and state-specific rules. The Services are a tool to help you comply; they do not make you automatically compliant.
7. Scope of our support — what we do and don't do
How we support you: advisory, hand-holding, guidelines, templates, audit support, documentation support, training, and every bit of HR firepower we can bring to the table on your matters.
Where our role ends: any action that is strictly legal in nature — legal opinions, statutory drafting of contracts or notices, filings before any authority, representation before any authority or court, adjudication, appearance or advocacy — is carried out by you, through your own advocate or authorised legal counsel. We do not practise law, we are not a law firm, and we do not accept liability for legal decisions or outcomes.
8. Intellectual property
PeoplePulse, the platform, our code, our design, our compliance logic, our templates, our dashboards and our methodology are owned by us and protected by Indian copyright and trade-mark law. You get a limited, non-transferable, revocable licence to use them while your subscription is active. Your worker data remains yours.
9. Acceptable use
- Don't reverse-engineer, decompile, scrape or resell the platform.
- Don't use the Services for any unlawful purpose, to facilitate wage theft, to falsify records, or to harass any worker.
- Don't upload data you do not have the legal right to upload.
We may suspend or terminate your account immediately if you breach this section.
10. Service levels & availability
We target 99.5% monthly uptime for the platform (excluding scheduled maintenance and force-majeure events). Support channels and response windows are listed on your plan page. We do not guarantee uninterrupted service and are not liable for transient outages beyond our reasonable control.
11. Warranties & limitations of liability
The Services are provided on an "as-is" and "as-available" basis. To the maximum extent permitted by Indian law:
- We disclaim all implied warranties, including merchantability and fitness for a particular purpose.
- Our aggregate liability in any twelve-month period is capped at the subscription fees you actually paid us in that period.
- We are not liable for any indirect, incidental, consequential, punitive or special damages — including lost profits, lost revenue, lost data, lost business opportunity, regulatory fines, labour-court awards, damages from Inspector visits, or any liability arising from your own statutory non-compliance.
12. Indemnity
You agree to defend, indemnify and hold harmless PeoplePulse, its promoters, employees and consultants from any claim, notice, demand or proceeding arising from (a) your use of the Services, (b) your breach of these Terms, (c) any worker-related claim or dispute, (d) any regulatory action, notice or fine, and (e) your breach of the DPDP Act or any other applicable law.
13. Termination
You may terminate at any time from the dashboard or by emailing admin@peoplepulse.co.in. We may terminate your account with 30 days' notice for any reason, or immediately for cause (non-payment, breach, misuse). On termination, you may export all your data for 30 days, after which we delete it in line with our DPDP Disclosure.
14. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified to you by email and on the platform at least 15 days before they take effect. Continued use after that date means you accept the updated Terms.
15. Governing law & disputes
These Terms are governed by the laws of India. Any dispute will first be attempted to be resolved amicably in good faith within 30 days. Failing that, the dispute will be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996, seated in Vadodara, Gujarat, conducted in English. Subject to the arbitration clause, the courts at Vadodara, Gujarat have exclusive jurisdiction.
